Terms of Service
1. Introduction
Welcome to Cenify IT. By accessing or using our services, you agree to be bound by these Terms of Service. These terms govern your use of all digital systems, software, and managed services offered by Cenify IT, including private directories, client portals, intake platforms, and custom SaaS applications. If you do not agree with any part of these terms, you should not use our services.
2. Services
Cenify IT builds and manages custom digital systems for professional service providers, including but not limited to:
- Private professional directories (e.g., therapist or coach directories)
- Secure client and patient portals
- Automated intake and onboarding systems
- Industry-specific SaaS platforms and marketplace applications
All systems are fully managed, including hosting, security, updates, and technical support. We reserve the right to enhance, update, or modify features or infrastructure at any time to maintain performance, security, and reliability.
3. Plans and Payments
Services are offered on a monthly subscription basis, with a minimum commitment of 6 months for most plans. All payments are due in advance, and service activation begins only after payment is confirmed.
A one-time setup fee may apply to cover onboarding, configuration, and initial development. This fee is billed separately from the monthly subscription.
All payments—including setup fees, monthly subscriptions, and custom development—are non-refundable. We encourage clients to schedule a discovery call before purchase to ensure alignment.
4. Cancellations
Clients may cancel their subscription at any time by providing written notice via email to support@cenifyit.com. Cancellation will take effect at the end of the current billing cycle.
No refunds or prorated credits will be issued for partial months or unused services. The 6-month minimum commitment must be fulfilled in full.
Upon cancellation, client data will be made available for download for 30 days. After that, it may be permanently deleted.
5. Client Responsibilities
Clients are responsible for providing accurate, complete, and timely information required for system setup and operation, including:
- Professional credentials and practice details
- Branding assets (logos, colors, etc.)
- Content for profiles, pages, or forms
- Compliance-related disclaimers (e.g., HIPAA, GDPR)
Delays caused by incomplete or inaccurate client input may affect project timelines and are not the responsibility of Cenify IT.
6. Intellectual Property
The underlying software, source code, architecture, and system design remain the exclusive property of Cenify IT. Clients receive a non-exclusive, non-transferable license to use the system for their business as long as they remain subscribed.
Client-provided content (text, images, logos) remains the client’s property, but the client grants Cenify IT a license to use it solely to deliver and operate the service.
7. Limitation of Liability
Cenify IT is not liable for indirect, incidental, or consequential damages, including loss of revenue, data, or business opportunities, arising from the use of our services.
Our total liability is limited to the amount paid by the client for services in the three (3) months preceding the claim.
8. Termination for Cause
Cenify IT reserves the right to suspend or terminate service immediately if a client:
- Violates these Terms of Service
- Uses the system for illegal or unethical purposes
- Fails to pay fees after a 7-day grace period
- Engages in behavior that compromises system security or other clients
9. Modifications to Terms
We may update these Terms of Service periodically. The updated date will be revised at the top of this page. Continued use of our services after changes constitutes acceptance of the new terms.
